ACCEPTABLE USE POLICY

Tupi software, TupiEx, TupiNow and TupiManage

1. SCOPE

1.1 This Acceptable Use Policy (“AUP”) applies to everyone who accesses or uses the TupiEx, TupiNow or TupiManage software (the “Software”) provided by Tupi Solutions Limited (“Tupi”), including agencies, interpreters, clients and their respective users (“you”).

1.2 This AUP forms part of, and should be read with, the agreement under which you use the Software (the End User Services Agreement, the Interpreter End User Agreement or the Client End User Agreement, as applicable). If there is a conflict, the terms of the relevant agreement prevail unless that agreement states otherwise.

1.3 Breach of this AUP is a breach of the relevant agreement and may lead to suspension or termination of access.

2. GENERAL PRINCIPLES

You must use the Software lawfully, responsibly, and only for its intended purpose, the management of interpreting/translation agency operations, bookings, documentation, expenses, rates and invoicing. You must respect the rights, data and security of other users.

3. PROHIBITED ACTIVITIES

You must not, and must not permit anyone else to:

(a) Misuse content. Upload, store or transmit material that is unlawful, fraudulent, defamatory, obscene, harassing, discriminatory, or that infringes any intellectual property, privacy or other right.

(b) Misuse personal data. Enter, access or use personal data without a lawful basis and proper authorisation, or upload documents you are not entitled to share.

(c) Compromise security. Introduce or transmit any virus, worm, trojan, ransomware or other malicious code; attempt to gain unauthorised access to the Software, other users’ accounts or data, or our systems or networks; or probe, scan or test the vulnerability of the Software.

(d) Disrupt the service. Interfere with or disrupt the integrity, availability or performance of the Software or the data of other users; impose an unreasonable or disproportionately large load on our infrastructure; or circumvent any usage limits, access controls or security features.

(e) Reverse engineer. Copy, modify, adapt, translate, reverse engineer, decompile or disassemble any part of the Software, except to the extent expressly permitted by law.

(f) Compete or scrape. Use the Software to build, train or benchmark a competing product or service; or use any automated means (bots, scrapers) to extract data except through features we provide.

(g) Misuse accounts. Share login credentials, allow unauthorised users to access the Software, impersonate any person or misrepresent your affiliation, or exceed the access permissions assigned to you.

(h) Misuse communications. Send spam, unsolicited messages or unlawful communications through or relating to the Software.

(i) Break the law. Use the Software in breach of any applicable law or regulation, including data protection, tax (including self-billing and VAT requirements), employment or sanctions laws.

4. YOUR RESPONSIBILITIES

You are responsible for: the accuracy and lawfulness of the data and documents you enter; keeping your credentials secure; the activity carried out under your account; and ensuring that anyone using the Software through your account complies with this AUP.

5. MONITORING AND ENFORCEMENT

5.1 We do not routinely monitor content but may review usage and content where we reasonably believe this AUP has been breached, or where required by law.

5.2 If we reasonably believe you have breached this AUP, we may, with notice where practicable: investigate; remove or disable access to offending content; suspend or restrict your access; or terminate your access in accordance with the relevant agreement. Where there is a risk to security, other users or compliance, we may act immediately and notify you afterwards.

5.3 We will cooperate with law enforcement and regulators where legally required.

6. REPORTING

If you become aware of any breach of this AUP, a security vulnerability, or any misuse of the Software, please report it to us promptly at info@tupi.solutions.

7. CHANGES

We may update this AUP from time to time. The “Last updated” date shows the latest version. Continued use of the Software after a change takes effect constitutes acceptance.
